Although Humainz™ is not currently subject to GDPR, we implement robust data protection practices consistent with international privacy standards.

2.4 SMS and Text Messaging
When you provide your phone number and consent to receive text messages from Humainz – Smart Networking ("Humainz," developed by Humainz, Inc.), you agree to receive service-related messages, including account verification, security alerts, and event notifications. 3. Purpose and Legal Basis of Processing
We process personal data based on the following legal bases and operational needs:
- To provide and maintain Services (Performance of contract)
- To personalize user experience (Legitimate interest)
- To process payments (Performance of contract)

5. Data Retention
We retain personal data for as long as necessary to fulfill the purposes described above, including:
- Active accounts: data retained for service continuity
- Inactive accounts: deleted after 24 months of non-use
- Payment and tax data: retained for 10 years in accordance with accounting regulations
- Abuse or fraud reports: retained as long as reasonably required to ensure integrity and security
Anonymized or aggregated data that cannot identify individuals may be retained indefinitely.

PROHIBITED CONTENT
Humainz strictly prohibits the publication, promotion, distribution, or facilitation of Child Sexual Abuse Material (CSAM/CSAE) in any form. Any user found to be engaging in such activity will face immediate account termination and will be reported to the relevant authorities, including the National Center for Missing & Exploited Children (NCMEC) and local law enforcement agencies.

We may update this Privacy Policy periodically. Any material changes will be communicated via the app or website prior to taking effect. The "Effective Date" at the top indicates when the policy was last updated.

We use AI and location-awareness to help you meet the right people at the right moment - whether you're at an event, working remotely, or exploring a new city, whether you're part of a company, group, or just wish to encounter new peers or old friends, HUMAINZ makes it easy to connect.
These terms set forth our legal obligations to each other. They apply to your use of our services.
When we say "HUMAINZ", "we", "us", and "our" in these terms, we mean HUMAINZ Inc., its subsidiaries, and its related companies.
When we say "services" in these terms, we mean HUMAINZ's services, apps, websites, and other products.
When we say "you" or "your," we mean you. If you're accessing our services on behalf of a legal entity (like your employer), you agree that you have the authority to bind that entity to these terms, and "you" and "your" will refer to that entity.
We also have a Privacy Policy, Community Guidelines and additional policies that apply to your use of our services and are incorporated into these terms. These policies contain important information about your use of our services, please make sure you read it. By using HUMAINZ's services, you agree to these terms.
AGE REQUIREMENTS AND RESPONSIBILITY OF PARENTS AND LEGAL GUARDIANS
By accessing our services, you confirm that you're at least 18 years old and meet the minimum age required by the laws in your country. Our services are not designed for nor directed towards users under the age of 18. We may take additional steps, including the use of third-party services, to determine whether you are old enough to create a HUMAINZ account or access certain features or spaces. By creating a HUMAINZ account or using our services, you accept and agree to be bound by these terms and represent that you have either reached the age of "majority" where you live or your parent or legal guardian agrees to be bound by these terms on your behalf. If you do not know whether you have reached the age of majority where you live, or do not understand this section, please ask your parent or legal guardian for help and ask them to read these terms with you. If you're a parent or legal guardian, and you allow your child (who must meet the minimum age for your country) to use the services, then you and the minor child accept and agree to be bound by these terms and are responsible for all use of the HUMAINZ account or services, including your child's activity on the services and purchases made by them, whether the minor's account is now open or created later.
WHAT YOU CAN EXPECT FROM US
HUMAINZ users communicate primarily via "events", which are pre-scheduled gathering posted or promoted on HUMAINZ, some events may include a designated "event" channel for communication on the HUMAINZ platform, while other events may be public on the HUMAINZ Platform.
Text channels allow users to interact via text-based messages, as well as images, GIFs, emoji, and other uploadable media. Users can also communicate one-to-one using direct messages, or communicate with a limited number of users via group direct messages. We're always evolving our services, and we may create other types of events in the future.
Users may create events, and users choose which events to join and who their "friends" are. All users must follow our Community Guidelines and other policies.
HUMAINZ is designed to make communicating with the people you want to meet and communicate with them to as easy as possible. Posts appear in text channels in the order in which they're made.
HUMAINZ is designed to integrate with your device to make it easy to share what you're up to. When HUMAINZ is running, we may identify other applications on your device to allow you to quickly call a friend, stream what you're doing on your device, share your status, and more.
HUMAINZ's services may be personalized to each user based on a variety of factors, including their activity, preferences they identified in their Settings, and events they belong to, so that you can see content, events and communities that may be of interest to you (such as features or activity on HUMAINZ, promotions from us, and sponsored content).
We're actively developing new features and products to improve HUMAINZ. As part of these efforts, we may add or remove features, start offering new services, or stop offering some services entirely (or just in some places or for some users) if they no longer make sense from a business perspective or create risk for HUMAINZ, our users, or other third parties. While we try to avoid disruptions, we cannot guarantee that there will not be an outage or change to the services, and your content may not be retrievable due to such outages or changes. We are not liable for any such outages or service changes.
YOUR HUMAINZ ACCOUNT
To access the services on an ongoing basis, you will need to create a HUMAINZ account. You can provide a username and password, and a way of contacting you (such as an email address and phone number). You'll also need to provide your birthday. In some cases, you may be required to verify your account or provide additional information.
Before you create an account on HUMAINZ, make sure you are eligible to use our Services. This Section also details what you can and cannot do when using the Services, as well as the rights you grant HUMAINZ.
You are not authorized to create an account or use the Services unless all of the following are true, and by using our Services, you represent and warrant that:
- You are an individual (i.e., not any body corporate, partnership or other business entity) at least 18 years old;
- You are legally qualified to enter a binding contract with HUMAINZ;
- You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country;
- You are not on any list of individuals prohibited from conducting business with the United States (for example, the U.S. Treasury Department's list of Specially Designated Nationals or any similar government agency list) nor do you face any other similar prohibition;
- You are not prohibited by law from using our Services;
- You have not committed, been convicted of, or pled no contest to a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence or a threat of violence, unless you have received clemency for a non-violent crime and we have determined that you are not likely to pose a threat to other users of our Services;
- You are not required to register as a sex offender with any state, federal or local sex offender registry;
- You do not have more than one account on our Services; and
- You have not previously been removed from our Services or our affiliates' services by us or our affiliates, unless you have our express written permission to create a new account.
If at any time you cease to meet these requirements, all authorization to access our Services or systems is automatically revoked, and you must immediately delete your account, and we retain the right to remove your access to our Services without warning.
You agree to:
- Comply with these Terms, and check this page from time to time to ensure you are aware of any changes;
- Comply with all applicable laws, including without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements;
- Use the latest version of the Website and/or App;
- Review and comply with the Community Guidelines, as updated from time to time;
- Take reasonable measures to protect the security of your login information.
You agree that you will not:
- Misrepresent your identity, age, or affiliations with a person or entity;
- Use the Services in a way that damages the Services or prevents their use by other users;
- Use our Services in a way to interfere with, disrupt or negatively affect the platform, the servers, or our Services' networks;
- Use our Services for any harmful, illegal, or nefarious purpose;
- Harass, bully, stalk, intimidate, assault, defame, harm or otherwise abuse or cause psychological harm;
- Post or share Prohibited Content (see below);
- Solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other users or disseminate another person's personal information without his or her permission;
- Solicit money or other items of value from another user;
- Use another user's account;
- Use our Services in relation to fraud, a pyramid scheme, or other similar practice;
- Use our Services in relation to any political campaign financing or for the purpose of influencing any election;
- Violate the terms of the license granted to you by HUMAINZ;
- Disclose private or proprietary information that you do not have the right to disclose;
- Copy, modify, transmit, distribute, or create any derivative works from, any user content or our content without HUMAINZ's prior written consent;
- Express or imply that any statements you make are endorsed by HUMAINZ;
- Use any robot, crawler, or other automatic device to access or reproduce our services;
- Upload viruses or other malicious code;
- "Frame" or "mirror" any part of our Services without authorization;
- Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of our Services;
- Use or develop any third-party applications that interact with our Services without our written consent;
- Use, access, or publish the HUMAINZ application programming interface without our written consent;
- Probe, scan or test the vulnerability of our Services or any system or network;
- Encourage, promote, or agree to engage in any activity that violates these Terms;
- Create a new account after we suspend or terminate your account, unless you receive our express permission; or
- Submit a report about a member's behavior or content that is false, misleading, or otherwise manifestly unfounded.
The license granted to you under these terms and any authorization to access the Services is automatically revoked in the event that you do any of the above.
You are responsible for the security of your account, and you agree to notify us immediately if you believe your account has been compromised.
If you get locked out of your account, we'll need to contact you at the email or phone number associated with your account.
CONTENT IN HUMAINZ'S SERVICES
Prohibited Content
HUMAINZ prohibits uploading or sharing content that:
- Could reasonably be deemed to be offensive or to harass, abuse or cause psychological distress;
- Is obscene, pornographic, violent or contains nudity;
- Is abusive, threatening, discriminatory or that promotes hatred or bigotry;
- Encourages or facilitates any illegal activity;
- Encourages or facilitates any activity that may result in harm;
- Is defamatory, libelous, or untrue;
- Relates to unauthorized commercial activities;
- Involves or facilitates the transmission of spam;
- Contains any spyware, adware, viruses, or other malicious code;
- Infringes upon any third party's rights;
- Was not written by you, unless expressly authorized;
- Includes the image or likeness of another person without consent;
- Includes an image or likeness of a minor unaccompanied by a guardian;
- Is inconsistent with the intended use of the Services; or
- May harm the reputation of HUMAINZ or its affiliates.
The uploading or sharing of content that violates these Terms may result in the immediate suspension or termination of your account.
Your Content
When we say "your content" in these terms, we mean all the things you add to our services. This includes text, links, GIFs, emoji, photos, videos, documents, or other media.
You don't have any obligation to add content to the services. If you choose to, you are responsible for ensuring that you have the right to do so.
Your content is yours, but you give us a license to it when you use HUMAINZ. By using our services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your content for the limited purpose of providing and improving our services.
We reserve the right to block, remove, and/or permanently delete your content if it breaches these terms.
HUMAINZ's Content
Our services include some content that belongs to us. You may use our software as outlined in these terms. We retain all intellectual property rights in our content.
Other Content
Other people's content. Our services might also provide you with access to other people's content. You may not use this content without that person's consent, or as allowed by law.
Third-party features and content. Our services may also contain links to third-party websites, features, apps, or other content. We are not responsible for the content or services available from these third parties.
NO CRIMINAL BACKGROUND OR IDENTITY VERIFICATION CHECKS
HUMAINZ does not conduct criminal background or identity verification checks on its users. Use your best judgment when interacting with others.
YOU UNDERSTAND THAT HUMAINZ DOES NOT CONDUCT CRIMINAL BACKGROUND OR IDENTITY VERIFICATION CHECKS ON ITS USERS. HUMAINZ MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, HEALTH, PHYSICAL CONDITION, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE CANNOT AND DO NOT GUARANTEE YOUR SAFETY. ALWAYS USE YOUR BEST JUDGMENT AND TAKE APPROPRIATE SAFETY PRECAUTIONS WHEN COMMUNICATING WITH OR MEETING NEW PEOPLE.
SOFTWARE IN HUMAINZ'S SERVICES
License to our software. We grant you a worldwide, non-exclusive, personal, non-transferable license to download, install, and run our software, solely to access our services.
You may not copy, modify, create derivative works based upon, distribute, sell, lease, or sublicense any of our software or services.
Open source. Some of HUMAINZ's services include software subject to separate open source license terms.
Third-party services. HUMAINZ is not responsible for any third-party services.
INTELLECTUAL PROPERTY
The HUMAINZ website and app and its entire contents, features and functionality are owned by Humainz, its licensors or other providers of such material and are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
HUMAINZ'S PAID SERVICES
We won't charge you a fee to use the basic functionality of our services, but you may be able to pay for additional features and products.
RESTRICTIONS ON YOUR USE OF HUMAINZ'S SERVICES
When using our services, you must comply with these terms and all applicable laws, rules, and regulations.
Fundamentally, do not do, try to do, or encourage or help others to do any of the following:
- Don't use the services to do harm to yourself or others.
- Don't use the services to do harm to HUMAINZ.
- Don't use the services to do anything else that's illegal.
TERM & TERMINATION
Your right to terminate. You're free to stop using HUMAINZ's services at any time. To terminate, delete your HUMAINZ account through the Settings page.
Our right to terminate. We reserve the right to suspend or terminate your account and/or your access to some or all of our services with or without notice.
APPEALS
You can appeal any enforcement action we take under these terms or other policies.
INDEMNITY
You will indemnify and hold HUMAINZ and its officers, directors, employees and agents harmless from and against any claims, liabilities, damages, and costs related to your access to or use of our services, your content, your violation of these terms, or your negligence or willful misconduct.
SERVICES "AS IS"
THE SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
DATA CHARGES
You are responsible for any mobile charges that you may incur for using our services.
LIMITATION OF LIABILITY
HUMAINZ LIMITS OUR LIABILITY TO YOU TO THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE THREE MONTHS BEFORE YOU FIRST ASSERT A CLAIM OR (B) $100 USD.
SETTLING DISPUTES BETWEEN YOU AND HUMAINZ
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal Dispute Resolution
Most Disputes can be resolved informally. You agree that you will reach out to us at disputes@HUMAINZ.com before initiating a lawsuit or arbitration.
Governing Law, Jurisdiction, Class Action Waiver
Choice of Law. These terms shall be governed by the laws of Delaware.
Class Action Waiver. You agree that any Dispute may only be pursued on an individual basis.
AGREEMENT TO ARBITRATE (U.S. AND CANADIAN RESIDENTS)
IF YOU'RE A U.S. OR CANADIAN RESIDENT, THIS SECTION CONTAINS MANDATORY ARBITRATION PROVISIONS.
You and HUMAINZ agree that binding arbitration is the sole means to resolve Disputes, subject to this Agreement to Arbitrate.
ARBITRATION MEANS THAT YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
SURVIVAL
Any part of these terms that by their nature should survive after termination will survive.
UPDATES TO THESE TERMS
We may decide to update these terms. If these changes materially affect your HUMAINZ use, we'll give you reasonable advance notice. If you continue to use our services after the changes have taken effect, you agree to the changes.
MORE IMPORTANT STUFF
Entire agreement. These terms cover the entire agreement between you and HUMAINZ for your use of our services.
Export Control. You agree to comply with all applicable import, export, and re-export control laws.
Waiver, severability, and assignment. If you fail to follow these terms and we don't immediately act, that doesn't mean we're giving up any of our legal rights.
SMS AND TEXT MESSAGING
By providing your phone number to Humainz – Smart Networking (developed by Humainz, Inc.) and opting in to receive text messages, you consent to receive recurring automated text messages related to your account, including verification codes, security alerts, and event notifications. Message frequency varies. Message and data rates may apply. Text messaging is not required to use our services. You may opt out at any time by replying STOP to any message. For assistance, reply HELP or email support@humainz.com. Carriers are not liable for delayed or undelivered messages.
Humainz will not share, sell, or distribute any mobile phone numbers or SMS opt-in information with third parties or affiliates for marketing or promotional purposes. Mobile information may only be shared with service providers (such as SMS delivery partners) strictly for the purpose of delivering the requested service.
APPLE APP STORE
If you download the HUMAINZ app from the Apple App Store or use our app on an iOS device, Apple has no obligation to furnish any maintenance and support services. Apple is not responsible for addressing any claims relating to the HUMAINZ app.

Data Retention Policy
We collect certain information as you use HUMAINZ. Our Privacy Policy describes the information we collect, how we use and share it, and how you can control your information. This page describes how long we hold on to different types of information and why.
As mentioned in our Privacy Policy, we require the information that enables us to create your account, provide our services, meet our commitments to our users, and satisfy our legal requirements. The rest is optional.
We retain personal information for as long as it is needed for the purposes for which we collected it. In general, this means that we retain your personal data for as long as you have an active HUMAINZ account. Some information you can delete directly from the services. We may also retain information for a certain period of time for specific purposes as described below.
Information you can delete directly from the services
You may edit or erase content that you post within HUMAINZ. For example:
- You can edit or delete any message you have sent or content you have posted if you still have access to the event where you posted it.
- You can edit or delete a HUMAINZ server if you have the permissions needed to do so.
Once you delete content, it will no longer be available to other users (though it may take some time to clear cached uploads). Deleted content will also be deleted from HUMAINZ's systems, but we may retain content longer if we have a legal obligation to preserve it as described below. Public posts may also be retained for 180 days to two years for use by HUMAINZ as described in our Privacy Policy (for example, to help us train models that proactively detect content that violates our policies).
Information retained until your account is deleted
We keep some data for the life of your HUMAINZ account. This includes information about how you use HUMAINZ, which helps us understand how users interact with our services, what features or products users may want, or how to improve our services. This also includes information like your username, email, and phone number. Some of that information may be kept for longer periods for specific purposes, as described below. You can delete your account at any time, and if your account is inactive for two years, we may delete it for you.
Retention periods for specific purposes
Business and legal requirements may mean that we need to retain certain information for set periods of time, some of which may extend beyond the deletion of your account. For each type of information, we set these data retention periods based on the reason for its collection:
- Age verification. If you submit an ID for an age verification appeal, we will delete it within sixty days after the age appeal ticket is closed.
- Backups. Our database backups are stored for 60-120 days upon which they are deleted.
- Compliance with our legal obligations. We may need to retain certain information for longer periods to comply with legal requirements. For example, when you purchase something through HUMAINZ, we need to retain information related to that transaction for specific periods for tax and accounting purposes.
Data Retention and Deletion Practices
To meet our safety and security commitments, we retain certain information (including email addresses and phone numbers) for 180 days after deletion for trust and safety purposes. If a user has been reported or flagged for violations of our Terms of Service or Community Guidelines, we may retain this information for up to seven years. This information helps us keep HUMAINZ secure, prevent fraud, or prevent bad actors from creating new accounts or otherwise engaging in behavior that violates our policies.
To exercise or defend legal claims, when you contact HUMAINZ directly (such as for customer support inquiries and requests to access your information), we retain related information for up to seven years from the closure of your request in case of a dispute or to exercise or defend our legal rights.
Continuity of our service
If you delete your account, we continue to retain and display the content you shared with other users, but that content is no longer tied to your account. We do this in order to ensure that other users continue to have access to the content shared with them. If you want to delete specific content, please do so before you delete your account.
What happens when you delete your account
When you delete your account, we will typically first put your account on hold for 15 to 30 days so that it can be recovered in case it was deleted unintentionally. Once that period expires, we begin the process of deleting identifying information and anonymizing or aggregating other information. Most of this happens quickly (unless the information is subject to a longer retention period as described above), but it can take up to 45 days to delete identifying information from backups. We retain aggregated and anonymized information, which is information that no longer enables us to identify you and is no longer tied to you as an individual.
Your rights
If you are located in the European Union, the GDPR grants you the following specific rights that you can exercise through the HUMAINZ app directly or by contacting us:
- Right of access to your personal data
- Right to rectify your personal data if they are incorrect
- Right to erase your personal data
- Right to limit the processing of your personal data
- Right to the portability of your personal data
- Right to object to the processing of your personal data
Be aware that the exercising of certain rights may provoke the deletion of your account.
